A 10-Q statement is a quarterly financial report that publicly traded companies are required to file with the U.S. Securities and Exchange Commission (SEC). It provides a detailed, unaudited snapshot of a company’s financial health, operations, and risk factors. for each of the first three quarters of its fiscal year. The fourth-quarter results are included in the company’s annual report (10-K) instead.

Key Components of a 10-Q:

1. Financial Statements (unaudited):

  • Income Statement
  • Balance Sheet
  • Statement of Cash Flows
  • Statement of Shareholders’ Equity

2. Management’s Discussion and Analysis (MD&A):

 A narrative section where management explains the results, trends, and significant changes since the last filing.

3. Risk Disclosures:

   Updates to known risks or new emerging risks that may affect the company’s performance.

4. Legal Proceedings and Controls:

   Any ongoing lawsuits or changes in internal financial controls must be disclosed.

Filing Timeline:

Companies must file their 10-Q within 40 to 45 days of the end of each fiscal quarter, depending on their size and public float.

10-Q provides timely insights into earnings, debt levels, liquidity, and operational performance—helping stakeholders make informed decisions in fast-moving markets.
