RIA Compliance Overview

Starting and registering your own advisory firm offers many benefits, including independence and the ability to control the advisory services your clients receive. But this increased freedom and control come with additional responsibilities, including making sure you comply with applicable state and federal rules.

Most investment advisors in the U.S. or with U.S. clients need to register with the SEC or the state(s) where they conduct business, make a series of regulatory filings, and meet ongoing compliance and regulatory requirements.

In light of these registration and compliance obligations, advisors can find helpful information concerning their compliance obligations on this webpage, including:

Free Compliance Software Tools

Interactive offers advisors a variety of free software to help them meet their compliance obligations. In particular, IBKR offers tools to help advisors with:

Investment advisors that manage large amounts or large positions need to file certain reports with the U.S. Securities and Exchange Commission ("SEC"), such as Form 13F, and/or Schedules 13D/13G.

You can learn more about these filing requirements on the IBKR website at these locations:

Advisors who they sign up for this tool will receive:

  • Quarterly alerts, quarterly and annual reports, and quarterly filing reminders for Form 13F filing obligations; and
  • Initial and amendment filing notice alerts and reports for Schedules 13D/13G filing obligations.

Investment advisors trading through IBKR may subscribe to this Section 13 monitoring and reporting tool through IBKR's Client Portal by selecting these options: Manage Account > Settings > Compliance > Section 13 > Subscription Election. Advisors can decide who at their firm will receive the alerts and reporting generated by this tool.

Advisors can create restrictions on the trading in specific accounts or of the users in their Advisor account.

Advisors can access this tool in Client Portal by selecting either Manage Account > Trade Configuration > Restrictions > Launch Pre-Trade Compliance or Manage Clients > Funds > Traders > Trading > Restrictions.

Advisors can set a variety of restrictions, including:

  • Minimum equity
  • Minimum margin cushion
  • Maximum amount in one position
  • Maximum percentage in one position
  • Concentration levels in any one issuer, asset or product
  • Restrictions on trading a specific issuer, asset class or product
  • Trading hour restrictions
  • Limiting trading to closing only trades
  • Holdings Restrictions

Through Pre-Trade Compliance tools, Advisors can create reports which reflect any trade and holdings restrictions that have been set on accounts your firm manages or on individual traders from your firm. Advisors can also create "watch list" reports which will be generated at regular intervals about trading by one or more accounts or users the "watchlists" are on.

To help Advisors who bill advisory fees using one of IBKR's Automatic Calculation options meet their compliance obligations, we can send your clients invoices detailing the advisory fees automatically calculated and deducted from their accounts (as they have requested) when those fees are actually charged. These notices describe the method used to calculate the fee, the amount of the fee and the period covered by the fee.

Some states' "custody" rules require that advisors send, or have their broker send, these invoices to clients who sign up for automatic billing of advisory fees. (You may also need to send these invoices to your clients if you have "custody" under the SEC's or your state's custody rule for another reason.) Please review the state (or SEC) rules relevant to your firm to determine if you need IBKR to send your clients these invoices.

Please note that your state securities regulator may expect you to provide notice of relying on this invoice process in their Form ADV filings. Given that state laws vary, investment advisors may want to confirm with their legal counsel or compliance consultant that the invoice provided by Interactive Brokers satisfies your specific state requirements. For instance, some states may still expect advisors themselves to provide copies of this itemized invoice to their clients to satisfy the requirements of this provision (instead of completely relying on IBKR to do so).

Interactive Brokers has reached preferred provider agreements with a variety of companies that offer RIA compliance and other services to advisory firms. These third-party service providers may be able to help new and existing investment advisors with their compliance and other related needs.

Best Execution

It's All About Meeting Your Best Execution Obligations

Investment advisors have a "best execution" duty to their clients. Generally speaking, the advisor must execute client trades through a broker that, all things considered, gets their clients a favorable deal on each trade. The advisor should take into account the broker's execution quality, commissions and fees and the quality of the brokerage services provided, among other things.

If a regulator (or client) asks, an advisor needs to show that it has "considered the full range and quality of a broker's services when placing brokerage, including, among other things, execution capability, commission rate, financial responsibility, responsiveness to the adviser, and the value of any research services provided." Exchange Act Release No. 23,170 (April 23, 1986).

This is a continuing obligation—advisors shosuld periodically evaluate the performance of the brokers executing client trades.

Interactive Brokers' Best Execution Advantage

Interactive Brokers has put together detailed information, including third-party data from the StockBrokers.com, showing the best price execution advantage of trading through IBKR, including the low per trade costs involved.

IBKR stands behind its execution quality.
