{"id":153690,"date":"2022-08-19T12:34:00","date_gmt":"2022-08-19T16:34:00","guid":{"rendered":"https:\/\/ibkrcampus.com\/?p=153690"},"modified":"2023-02-10T13:30:44","modified_gmt":"2023-02-10T18:30:44","slug":"if-you-cant-spot-the-sucker-part-2","status":"publish","type":"post","link":"https:\/\/www.interactivebrokers.com\/campus\/traders-insight\/securities\/macro\/if-you-cant-spot-the-sucker-part-2\/","title":{"rendered":"If You Can\u2019t Spot the Sucker: Part 2"},"content":{"rendered":"\n<p>Sometimes it doesn\u2019t feel great to be correct, and it\u2019s rare to be proven correct so quickly.&nbsp;<\/p>\n\n\n\n<p><a href=\"\/campus\/traders-insight\/securities\/stocks\/if-you-cant-spot-the-sucker\/\">We published an important piece<\/a> around noon on Thursday, August 18<sup>th<\/sup>, 2022, before we knew that Ryan Cohen had disposed of his BBBY shares a day earlier.&nbsp; We now know the outcome of <a href=\"\/campus\/traders-insight\/securities\/stocks\/if-you-cant-spot-the-sucker\/\">something we wondered<\/a> in the piece: \u201cWe don\u2019t yet have a way to know how many shares might have been sold into the final paroxysm of [Wednesday\u2019s] move.\u201d As we learned after the close yesterday, the answer was \u201call\u201d.<\/p>\n\n\n\n<p>As we learn from <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/886158\/000092189522002496\/sc13da313351002_08182022.htm\">yesterday\u2019s SEC 13D filing<\/a>, he actually began selling on the 16<sup>th<\/sup>.&nbsp; This is interesting because the 144 filing with his intention to sell was dated the 16<sup>th<\/sup>.&nbsp; This means that the selling likely began almost immediately after the filing was accepted by the SEC, since he managed to sell over 3.7 million shares on that day.&nbsp;<\/p>\n\n\n\n<p>Over the two-day period, his stock sales ranged from $18.6848 to $29.2192.&nbsp; If you use the Scale Trader function on your TWS, hopefully all your sales go this well:<\/p>\n\n\n\n<figure class=\"wp-block-image size-full\"><img decoding=\"async\" width=\"975\" height=\"329\" data-src=\"\/campus\/wp-content\/uploads\/sites\/2\/2022\/08\/image-71.png\" alt=\"stock sales ranged from $18.6848 to $29.2192\" class=\"wp-image-153691 lazyload\" data-srcset=\"https:\/\/ibkrcampus.com\/campus\/wp-content\/uploads\/sites\/2\/2022\/08\/image-71.png 975w, https:\/\/ibkrcampus.com\/campus\/wp-content\/uploads\/sites\/2\/2022\/08\/image-71-700x236.png 700w, https:\/\/ibkrcampus.com\/campus\/wp-content\/uploads\/sites\/2\/2022\/08\/image-71-300x101.png 300w, https:\/\/ibkrcampus.com\/campus\/wp-content\/uploads\/sites\/2\/2022\/08\/image-71-768x259.png 768w\" data-sizes=\"(max-width: 975px) 100vw, 975px\" src=\"data:image\/svg+xml;base64,PHN2ZyB3aWR0aD0iMSIgaGVpZ2h0PSIxIiB4bWxucz0iaHR0cDovL3d3dy53My5vcmcvMjAwMC9zdmciPjwvc3ZnPg==\" style=\"--smush-placeholder-width: 975px; aspect-ratio: 975\/329;\" \/><\/figure>\n\n\n\n<p>Source: <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/886158\/000092189522002496\/sc13da313351002_08182022.htm\">SEC<\/a><\/p>\n\n\n\n<p>Without the immediate knowledge of Mr. Cohen\u2019s potential sale, BBBY shares closed about 11.7% higher on the 17<sup>th. <\/sup>&nbsp;This episode was a master class in how to manage SEC filings.&nbsp; When buying stock or options, notify the market as quickly as possible.&nbsp; When selling, utilize filing methods that offer the ability to obfuscate your intentions for a crucial session or two.&nbsp; The moves may be legal, but they are certainly unseemly.&nbsp; (This escapade certainly seems worthy of SEC attention if they are sincere about their role in protecting individual investors.)<\/p>\n\n\n\n<p>Oh, one more important thing: we learned late yesterday that <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2022-08-18\/bed-bath-beyond-is-said-to-tap-kirkland-ellis-for-debt-help?sref=UQoV8r0O\">BBBY hired Kirkland &amp; Ellis as a restructuring advisor<\/a>[i]. Healthy companies don\u2019t need to hire restructuring advisors.&nbsp; One has to question whether a 10% holder of a company\u2019s shares had no knowledge of impending problems.&nbsp;<\/p>\n\n\n\n<p>Now that the dust has settled, it\u2019s painfully obvious that an investor with a massive social media following utilized his ability to generate excitement in meme stocks to turn a losing position into a winner at the expense of unsuspecting shareholders.&nbsp; It pains me to say it, but an untold number of investors, blinded by greed, fell victim to the machinations of a potentially unscrupulous operator.&nbsp; Yet still, not all the players have left the table.&nbsp; Given the role that Ryan Cohen played in what seems akin to a pump and dump scheme[ii], one might think that GameStop, another company in which he holds almost 12% of the stock, would be suffering mightily.&nbsp; But those shares are only down about 7%.&nbsp; Even after getting suckered, it appears that not everyone has left the table.<\/p>\n\n\n\n<p>&#8212;<\/p>\n\n\n\n<p>[i] Full disclosure, my nephew is a restructuring attorney at Kirkland &amp; Ellis.\u00a0 We
